Key Responsibilities

1. Legal Advisory and Guidance

  • Offer expert legal advice to senior management and operational teams to ensure compliance with laws and industry regulations.
  • Prepare and review legal memoranda, transaction documents, and advisory notes to ensure accuracy and commercial value.
  • Manage legal matters arising from upstream activities to support business continuity and limit exposure.
  • Advise on regulatory and governmental engagements, including legislative and local content requirements.
  • Improve internal legal templates, standards, and procedures for consistency and efficiency.
  • Supervise and review legal outputs from team members to ensure quality, compliance, and alignment with business goals.

2. Contract Review, Negotiation, and Risk Management

  • Review commercial and technical contracts to ensure compliance with company policies and protect key interests.
  • Lead contract negotiations with external parties to secure balanced and favourable terms.
  • Draft and refine complex agreements covering operations, procurement, and strategic initiatives.
  • Collaborate with internal teams to integrate legal considerations into contract structures and execution.
  • Oversee contract-related work carried out by attorneys to ensure accuracy and alignment with objectives.

3. Transaction and Project Management

  • Manage legal aspects of corporate transactions such as mergers, acquisitions, joint ventures, and divestments.
  • Support project teams by providing legal input during planning and execution stages.
  • Prepare and review key transaction documents to reflect strategic priorities.
  • Assess risks and provide clear recommendations to senior leadership.
  • Assist in resolving transaction-related issues to maintain value and timelines.
  • Supervise legal work on transactions and projects to ensure quality delivery.

4. Dispute Resolution and Cost Control

  • Handle disputes from commercial, operational, or regulatory activities efficiently.
  • Advise on suitable dispute resolution methods, including litigation and alternative approaches.
  • Work with external counsel to ensure effective case management and cost control.
  • Review concluded cases to identify improvements for future handling.
  • Support reduction of legal costs by strengthening internal capabilities.
  • Oversee dispute handling by attorneys to ensure effective and economical outcomes.

Qualifications 

  • Minimum Qualification – Bachelor of Laws (LLB), minimum of second class lower division.
  • Professional Requirement – Member of the Nigerian Bar Association.
  • Desirable – Master’s degree in Law.

Experience

  • Experience within a reputable law firm or structured oil and gas company.
  • Proven knowledge of energy law, mergers and acquisitions, and commercial law.
  • Strong ability to manage complex assignments and deliver practical solutions.
  • Effective communication and strategic thinking skills.
  • At least 8 years’ post-call experience in oil and gas or corporate legal practice.
